What's it like to be a Company Secretary?
A Company Secretary is typically responsible for the smooth administration of a company, particularly with regard to compliance with statutory and regulatory requirements. Their work often involves convening and servicing annual general meetings, producing agendas, taking minutes, conveying decisions, handling correspondence and following up on actions. A Company Secretary acts as an adviser to the company directors, informing them of their legal responsibilities. They can work in a variety of sectors ranging from government organisations to non-profit agencies, private firms and educational institutions.
Tasks and duties
- Overseeing regulatory compliance, ensuring the company adheres to legal and statutory requirements.
- Facilitating a company's board and annual general meetings by preparing agendas, maintaining minutes and implementing decisions.
- Managing company records such as register of directors and shareholders, memos and other important documents.
- Communicating between the board of directors and company shareholders, and conveying information about policies or decisions to relevant stakeholders.
- Coordinating changes in company structure or governance, including incorporation, dissolutions and restructures.
- Providing advice to company directors on governance matters, and contributing to the ongoing development of a company's corporate governance framework.
- Administering share schemes, dividends and managing any acquisition or disposal of a company's assets.
How to become a Company Secretary
A Chartered Secretary qualification from the Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) is required to become a Company Secretary. This is a senior role for Chartered Accountants, Malaysian Bar registered lawyers or a secretary licensed by the Company Commission of Malaysia.
- 1.Complete a bachelor degree in Accountancy, Economics, Business Administration or another related finance or pre-law degree.
- 2.Undergo an internship and gain work experience in the corporate sector
- 3.Obtain qualification for eligibility under the MAICSA as a Chartered Accountant, Lawyer registered with the Malaysian Bar or Licensed Secretary by the Company Commission of Malaysia.
- 4.Take the Chartered Governance Qualifying Programme (CGQP) by the MAICSA or the fast track if you are an eligible professional with five years of work experience to register as a Chartered Secretary
